Once again, Annual Reports are due in Florida. The deadline for this filing is May 1st and that is almost upon us. All businesses whose effective date is prior to January 1st, 2015, must file this report to let the state know that the business will be kept active another year. After the deadline of May 1st, the state will add a $400 penalty to renewal fees. If you still haven’t filed by September 4th of this year, your business will be administratively dissolved or revoked.
The normal renewal fees that must be paid when filing an annual report are as follows:
- Corporation $150
- Limited Liability Company $138.75.
After May 1st these will increase to
- Corporation $550
- Limited Liability Company $538.75
This is also the time during which you can make changes to any information on file with the state. You can update:
- Company’s physical and mailing addresses
- The registered agent
- Manager / officer names and addresses
Be sure to double check all information especially the email address you submit. If any information is mistyped, an amendment will be required to fix the error. That amendment will be an additional $35. The email address you list will be where all informational emails will be sent. They do not mail anything.
Finally, just a note about the “Annual Minutes” or “Annual Corporate Record Forms” notices you have probably received. These are in no way related to the Florida Department of Corporations’ Annual Reports. These notices are a SCAM! They are NOT from the any government agency. Shred these immediately.
