Failure to file an annual report can lead to the revocation of your business. Every business owner should know that this is the case. Every year you must file an annual report to remain an active company.
The annual report allows you to update your records with the state, with actions such as: update your address information, add or remove officers, change your registered agent, etc. The normal filing period takes place from January 1st – May 1st of each year. Should you fail to file your report during this time frame, your business is subject to a $400 late fee on top of the initial filing amount which is $150 for a corporation and $138.75 for an LLC.
Failure to file a late annual report by the third Friday of September (09/18/15) will result in the administrative dissolution or revocation of the entity by the close of business on the following Friday (09/25/15). This means that your business is now an inactivecompany. Any work performed by this company is not legal. After one calendar year of inactive status, the business name will become available for use by another entity in the State of Florida. Should your company name remain available, you can apply for reinstatement for up to 10 years. The reinstatement fees are as follows:
For an LLC:
- Reinstatement Fee: $100
Annual Report Fee: $138.75 [for each year or a part of a year dissolved)
For a Corporation:
- Reinstatement Fee: $600
Annual Report Fee: $150 [for each year dissolved]

Once you type in your company name and locate it, scroll down to the bottom of the page where it says “annual reports”. This will show your reports filed from time of existence up to present. If you do not see your 2015 annual report listed here, now is the time to get this filed!
