As we are about to begin the New Year, it is very important to be aware that your annual report for your business needs to be filed between January 1st and May 1st every year. If the annual report is not filed by May 1st, you will need to pay a $400 late fee to avoid the business being dissolved for failure to file an annual report.
Because we have approached the time of year that annual report notices are being sent from the Florida Secretary of State, we wanted to inform you of a scam that is making its way around for a notice to file your annual minutes for your business, which can easily be confused with the required filing of the annual report.
Therefore, please keep your eyes open for the scam that is surfacing at this time. It is a notice that solicits a $125 fee, which notifies you to submit your annual minutes. Please note that annual minutes are not an item that needs to be filed with the Department of State in any state or governmental agency. Company minutes are an item that can be completed in-house annually. Please know that this scam should not be confused with the annual report filing that is a requirement and does need to filed every year with the Florida Secretary of State in order to remain a current and active business.
