It’s that time of year again! Annual reports are due by May 1st. Only three days away! An annual report must be filed each year for your business to maintain an “active status.” If this report is not received by this date, the state will add a $400 fine to the standard fees. If the report isn’t filed by mid-September, the state will dissolve or revoke the company.

The Basics:

Before May 1st, the standard fee to file an annual report for a corporation is $150 and $138.75 for a limited liability company. After May 1st, the fee for a corporation will cost $550 and a limited liability company will cost $538.75. This extra $400 fee is completely avoidable; you don’t want to pay this for no reason!

When filing the report, you are able to change any information that needs updating. Information that can be updated includes: names of officers, directors, managers and managing members; physical and mailing addresses of the company, the registered agent and registered office address; and the federal employers identification number. You can add, delete, or change all of this information, and the changes are in effect immediately. Double-check your newly imputed information. Make sure everything is spelled correctly. If there is a typing error, you will have to file an amendment and this will cost an additional $35.
