Pursuant to Executive Order No. 20-52 and Department of State Emergency Order 2020-01, signed March 27, 2020, the time requirements for business entities to file annual reports have been suspended and tolled until June 30, 2020.
Any profit corporation, limited liability company, limited partnership or limited liability limited partnership annual report filing will have until 12:01 am on July 1, 2020, before a $400 late fee is assessed.
- Annual reports are due by the third Friday in September to avoid administrative dissolution.
- New Security Alert: An email filing confirmation will be sent to the entity’s current email address on file.
An annual report must be filed each year for your business to maintain an “active status.” If your annual report is not received, the state of Florida will add an additional $400 fine to the standard fees. If the report isn’t filed by mid-September (of 2020), the state will dissolve or revoke the company.

Filing the Annual Report
The standard fee to file an annual report for a corporation is $150 and $138.75 for a limited liability company. After June 30th, the fee for a corporation will cost $550 and a limited liability company will cost $538.75. This extra $400 fee is completely avoidable if you meed the deadline.
When you file the annual report, you also have the chance to change any information that needs updating. Information that can be updated include names of officers, directors, managers and managing members; physical and mailing addresses of the company, the registered agent and registered office address; and the federal employer’s identification number. You can add, delete, or change all this information, and the changes are in effect immediately. Double-check your newly added information by making sure everything is spelled correctly. If there is a typing error, you will have to file an amendment, and this will cost an additional $35.
